1. Acceptance of these Terms

By creating an account on NatGasIQ (the "Platform"), you agree to be bound by these Terms of Use (the "Terms"). If you do not agree, do not use the Platform. AmpedUp Energy LLC ("AmpedUp," "we," "us") may modify these Terms on notice; continued use following notice constitutes acceptance.

2. The Platform and Published Indices

AmpedUp is a Price Reporting Agency ("PRA") that publishes natural gas, pipeline, and LNG indices under the methodology standards of FERC Policy Statement PL03-3-000 and IOSCO Principles for Oil Price Reporting Agencies. Published indices are not trading advice, and no representation is made that any index is a suitable basis for commercial decisions. Subscribers are solely responsible for their own use of the data.

3. Accounts and Eligibility

Accounts are issued to energy-industry professionals and institutions. You represent that the information you provide at registration is accurate and that you are authorized to bind the organization you list as your employer. Accounts are personal; credentials may not be shared with other individuals.

4. Capability-Specific Enrollment

These Terms cover general platform access. Submission of market data (data provider), submission of pipeline pressure readings (operator), and publication of research commentary (writer) each require completion of an additional enrollment process and execution of the applicable program agreement. Those additional agreements are reviewed by the AmpedUp Compliance Officer and, once executed, govern that specific activity in addition to these Terms.

5. Permitted Use

  • Access the Platform for your organization's internal business use.
  • Display individual index values in internal analytics, reports, and derivative publications, with proper attribution to AmpedUp.
  • Use API credentials for automated retrieval within the rate limits of your subscription tier.

6. Prohibited Use

  • Systematic bulk redistribution, resale, sublicensing, or republication of Platform content without a written redistribution license.
  • Reverse engineering, scraping, or circumventing access controls and rate limits.
  • Submission of knowingly false, misleading, or non-arm's-length transaction data through any of our data provider channels.
  • Use of the Platform to manipulate any index or benchmark, or to support any activity that would constitute market manipulation under 18 CFR 1c.1 or similar laws.

7. Data Provider and Operator Submissions

Any data you submit as a Provider or Operator is subject to the applicable program agreement (for example, the Data Provider Agreement and Safe Harbor Attestation, or the Pipeline Operator Agreement). Raw submissions are held in strict confidence; only aggregated, anonymized outputs are published. Submission archives are retained for seven (7) years in accordance with FERC record-retention expectations.

8. Subscription and Billing

Paid subscription fees, if any, are governed by the pricing shown at checkout and the subscription agreement you accept at that time. Fees are non-refundable except as required by applicable law. AmpedUp may modify subscription pricing on 30 days' notice for the next renewal cycle.

9. Intellectual Property

All indices, methodology documents, research outputs, software, and trademarks on the Platform are and remain the property of AmpedUp and its licensors. You receive a non-exclusive, non-transferable, revocable license to use the Platform consistent with these Terms and your subscription tier.

10. Disclaimers

The Platform, indices, and research content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AmpedUp does not guarantee that any index is free of error, and corrections are published in accordance with the Platform's public corrections log.

11. Limitation of Liability

To the fullest extent permitted by law, AmpedUp's aggregate liability for any claim arising out of or relating to these Terms or the Platform is limited to the subscription fees you paid in the twelve (12) months preceding the event giving rise to the claim. AmpedUp will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.

12. Termination

AmpedUp may suspend or terminate your access at any time for breach of these Terms, for suspicion of attempted index manipulation, or for conduct that violates the Platform's Code of Conduct. You may terminate your account at any time from the account settings page.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with a seat in Wilmington, Delaware. Either party may seek injunctive relief in a court of competent jurisdiction for infringement of intellectual property rights.
